「『日鉄のUSスチール買収計画，バイデン米大統領が最終的に阻止へ』
バイデン米大統領は日本製鉄による141億ドル（現行レートで約２兆1400億円）での USスチール買収計画について，国家安全保障を理由に正式に阻止する計画だと，事情に詳しい複数の関係者が語った。
　関係者によれば，日鉄の買収案の審査を進めてきた「対米外国投資委員会」（CFIUS：Committee on Foreign Investment in the United States）は今月22日ないし23日までにバイデン氏に結果を伝える必要がある。関係者は審査プロセスが機密扱いだとして匿名で明らかにした。
　CFIUSの審査結果がどうなるかは明らかになっていない。しかし，大統領への通知は少なくとも CFIUSメンバーの１人がこの取引にリスクがあるとみていることを示唆している。関係者の一部によると，バイデン氏が買収阻止を決定した場合，日鉄と USスチールはこのプロセスを巡り訴訟を起こす構えだという。

日本製鉄，USスチール従業員へ買収完了時のボーナス支給を決定～ USスチールの成功に向けて，従業員に長期的なコミットメントを示す～

Nippon Steel Corporation (“Nippon Steel”) (TSE: 5401) announced today a commitment to reward United States Steel Corporation (“U. S. Steel”) employees in the United States with a Closing Bonus of $5,000, less applicable withholdings and authorized or required deductions, following the closing of the transaction between the parties.
日本製鉄株式会社（以下「日本製鉄」）（東証：5401）は本日，両社間の取引完了後，ユナイテッド・ステイツ・スチール・コーポレーション（以下「U.S.スチール」）の米国従業員に対し，適用される源泉徴収税（withholdings）および承認または要求される控除額を差し引いた＄5,000の決算ボーナス（Closing Bonus）を支給すと約束したことを発表した。

Eligible non-union employees in the United States below the Senior Manager level will receive this Closing Bonus. Nippon Steel has offered this same Closing Bonus to union-represented employees in the United States via their applicable union representatives. If any of the unions that represent U. S. Steel employees have questions regarding the bonus, Nippon Steel is willing to discuss the matter with them.
このクロージング・ボーナスは，米国のシニア・マネージャー未満の非組合員の従業員に支給される。また，日本製鉄は労働組合代表を通じて，米国の組合員に対しても，同様のクロージング・ボーナスの支給を提案した。USスチールの組合員を代表する労働組合が，このクロージング・ボーナスに関して質問がある場合，日本製鉄はいつでも話し合いに応じる。

Commenting on the commitment, Takahiro Mori, Representative Director and Vice Chairman of Nippon Steel said, “We have listened to unions and government officials who have argued that, in large corporate transactions, rank-and-file employees often receive nothing that recognizes their contributions to the value generated for stockholders. Through our commitment to this Closing Bonus, we want to address that concern. We want to thank all of U. S. Steel’s employees for their continued hard work.

The Closing Bonus is conditioned upon the transaction closing.
クロージング・ボーナスは，本買収が完了することを条件に支払われる。

Nippon Steel also intends to provide a €3,000 Closing Bonuses to employees in Europe following the close of the transaction. Altogether, the Closing Bonus will result in a nearly $100 million aggregate payment to qualifying employees.
また，日本製鉄は，欧州の従業員に対しても，一人当たり €3,000のクロージングボーナスを，買収成立後に支給する予定である。これも含めたクロージング・ボーナスの総額は＄1億程度となる予定である。
